STEAG GMBH SHALL SELL ITS 51% INTEREST IN THE OUTSTANDING CAPITAL STOCK OF SPI TO SPC POWER CORPORATION & ITS AFFILIATE INTREPID
CONSIDERATION FOR COMMON SHARES IS $33.9 MILLION
CONSIDERATION FOR REDEEMABLE SHARES IS $18.1 MILLION
